9.2 Sole Remedy

IN THE EVENT OF ANY PROBLEM WITH OUR SITE, APP, OR ANY CONTENT, MATERIALS, INFORMATION, OR SERVICES PROVIDED THROUGH THEM, YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE USING THE SITE AND APP.

9.3 Cap on Liability

UNLESS OTHERWISE REQUIRED BY LAW, IN NO EVENT SHALL SOLID CREDIT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF ANY REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR IF WE KNEW OR SHOULD HAVE KNOWN ABOUT THE POSSIBILITY OF THE DAMAGES.

9.4 Basis of the Bargain

The limitations of liability set forth in this Section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Solid Credit. Our Site and App would not be provided without such limitations.

9.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

10. INDEMNIFICATION

Unless prohibited by law, you agree to indemnify, defend, and hold harmless Solid Credit, its officers, directors, employees, agents, affiliates, subsidiaries, partners, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, demands, and expenses (including reasonable attorneys' fees and court costs) arising from, related to, or in connection with:

  • Your access to or use of our Services, Site or App;

  • Your violation of these Terms or any other agreement with Solid Credit;

  • Your violation of any third-party rights, including without limitation any right of privacy, publicity rights, or intellectual property rights;

  • Your violation of any applicable law, rule, or regulation of the United States or any other jurisdiction;

  • Any content, information, or materials you submit, transmit, or otherwise provide through our Service, Site, or App, including the content or accuracy of any dispute correspondence;

  • Any dispute or claim between you and a credit bureau, creditor, or other third party;

  • Any misrepresentation made by you;

  • Your breach of any representations or warranties set forth in these Terms or any other agreement with Solid Credit; or

  • Any other party’s access and use of the Services, Site or App with your unique username, password, or other appropriate security code.

Notwithstanding the foregoing, Solid Credit reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. Solid Credit will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. DISPUTE RESOLUTION BY BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND HOW CLAIMS THAT YOU AND SOLID CREDIT HAVE AGAINST EACH OTHER ARE RESOLVED. THIS SECTION IS DEEMED TO BE A "WRITTEN AGREEMENT TO ARBITRATE" PURSUANT TO THE FEDERAL ARBITRATION ACT. YOU AND SOLID CREDIT AGREE THAT THIS SECTION SATISFIES THE "WRITING" REQUIREMENT OF THE FEDERAL ARBITRATION ACT.

YOU ACKNOWLEDGE YOU HAVE READ THIS PROVISION CAREFULLY AND UNDERSTAND THAT IT LIMITS YOUR RIGHTS IN THE EVENT OF A DISPUTE BETWEEN YOU AND US. YOU UNDERSTAND THAT YOU HAVE THE RIGHT TO REJECT THIS PROVISION AS PROVIDED BELOW.

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

11.2 Informal Resolution

If a claim arises, our goal is to learn about and address your concerns and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost effective means of resolving the dispute quickly. Before initiating any legal or arbitral proceeding, you agree to contact us at legal@solidcredit.com to attempt an informal resolution. You must describe your concern and the specific relief you seek. We will endeavor to resolve the matter within sixty (60) days. Neither party may initiate a proceeding until the informal resolution process is complete.

11.3 Binding Arbitration

IF INFORMAL RESOLUTION FAILS, YOU AND SOLID CREDIT AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING FROM OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE RELATIONSHIP BETWEEN YOU AND SOLID CREDIT AND THE REMEDY FOR RESOLUTION OF SUCH DISPUTES, CLAIMS, OR CONTROVERSIES SHALL BE RESOLVED SOLELY AND EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, PURSUANT TO THIS SECTION (the “ARBITRATION PROVISION”).

As used in this Arbitration Provision, “Claim” shall include any past, present, or future claim, dispute, or controversy involving you (or persons claiming through or connected with you), on the one hand, and us on the other hand, relating to or arising out of this Agreement, and/or the activities or relationships that involve, lead to, or result from this Agreement, including (except to the extent provided otherwise in Section 11.6 below) the validity or enforceability of this Arbitration Provision, any part thereof, or the entire Agreement. Claims are subject to arbitration regardless of whether they arise from contract, tort (intentional or otherwise); a constitution, statute, common law, or principles of equity, or otherwise. Claims include matters arising as initial claims, counter-claims, cross-claims, third-party claims, or otherwise. Please note that you may continue to assert Claims in small claims court if your Claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The scope of this Arbitration Provision is to be given the broadest possible interpretation that is enforceable.

11.4 Applicability of the Federal Arbitration Act; Arbitrator’s Powers

This Arbitration Provision is made pursuant to a transaction involving interstate commerce and shall be governed by and enforceable under the Federal Arbitration Act (the “FAA”). The arbitrator will apply substantive law consistent with the FAA and applicable statutes of limitations. The arbitrator may award damages or other types of relief permitted by applicable substantive law, subject to the limitations set forth in this Arbitration Provision. The arbitrator will not be bound by judicial rules of procedure and evidence that would apply in a court. The arbitrator shall take steps to reasonably protect confidential information.

11.5 Arbitration Procedures

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Agreement.

BY AGREEING TO ARBITRATION, YOU AND SOLID CREDIT EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

Arbitration will be conducted by a single neutral arbitrator selected in accordance with AAA Consumer Arbitration Rules, except to the extent the rules conflict with this Arbitration Provision or any countervailing law;

  • The arbitrator shall have the exclusive authority to resolve all disputes;

  • The arbitrator, and not any court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable;

  • The arbitrator shall apply New York substantive law consistent with the Federal Arbitration Act (9 U.S.C. §§ 1–16);

  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction;

  • Payment of arbitration fees will be governed by the AAA Consumer Arbitration Rules; Solid Credit will pay all arbitration administration fees and arbitrator fees in excess of the amount you would pay to file in court if we elect arbitration. If you elect arbitration, filing costs and administrative fees (other than hearing fees) shall be paid in accordance with the AAA Consumer Arbitration Rules, or in accordance with countervailing law if contrary. We shall pay the administrator’s hearing fees for one full day of arbitration hearings. Fees for hearings that exceed one (1) day will be paid by the party requesting the hearing, unless the AAA Consumer Arbitration Rules or applicable law require otherwise, or you request that we pay them and we agree to do so. Each party shall bear the expense of its own attorneys’ fees, except as otherwise provided by law. If a statute gives you the right to recover any of these fees, these statutory rights shall apply in the arbitration notwithstanding anything to the contrary herein;

  • Arbitration may be conducted in person in New York County, New York (or in the county of your primary residence if you prefer), by telephone, by video conference, or based on written submissions;

  • If you have any questions concerning the AAA or would like to obtain a copy of the AAA Consumer Arbitration Rules, you may call 1(800) 352-5267 or visit the AAA’s website at www.adr.org;

  • In the case of a conflict between the AAA Consumer Arbitration Rules and this Arbitration Provision, this Arbitration Provision shall control, subject to countervailing law, unless all parties to the arbitration consent to have the AAA Consumer Arbitration Rules apply.

11.6 Class Action Waiver

YOU AND SOLID CREDIT AGREE THAT NO ARBITRATION SHALL PROCEED ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS (INCLUDING AS PRIVATE ATTORNEY GENERAL ON BEHALF OF OTHERS), EVEN IF THE CLAIM OR CLAIMS THAT ARE THE SUBJECT OF THE ARBITRATION HAD PREVIOUSLY BEEN ASSERTED (OR COULD HAVE BEEN ASSERTED) IN A COURT AS CLASS REPRESENTATIVE, OR COLLECTIVE ACTIONS IN A COURT.

Unless consented to in writing by all parties to the arbitration, no party to the arbitration may join, consolidate, or otherwise bring Claims for or on behalf of more than one person or unrelated corporate entities in the same arbitration unless those persons are parties to a single transaction. Unless consented to in writing by all parties to the arbitration, an award in arbitration shall determine the rights and obligations of the named parties only, and only with respect to the Claims in arbitration and shall not (a) determine the rights, obligations, or interest of anyone other than a named party, or resolve any Claim of anyone other than a named party; nor (b) make an award for the benefit of, or against, anyone other than a named party. No administrator or arbitrator shall have the power or authority to waive, modify, or fail to enforce this Section, and any attempt to do so, whether by rule, policy, arbitration decision or otherwise, shall be invalid and unenforceable. ANY CHALLENGE TO THE VALIDITY OF THIS CLASS ACTION WAIVER SHALL BE DETERMINED EXCLUSIVELY BY A COURT AND NOT BY THE ADMINISTRATOR OR ANY ARBITRATOR. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, AND ALL DISPUTES SHALL PROCEED IN COURT.

11.7 Batch Arbitration

If twenty-five (25) or more similar arbitration demands are filed against Solid Credit by the same law firm or coordinated group of law firms, the parties agree that the AAA Consumer Mass Arbitration Supplementary Rules shall apply, or if those rules do not apply, the arbitrator shall implement procedures to ensure the efficient resolution of claims, including the use of staged proceedings or bellwether cases.

11.8 Exceptions

Notwithstanding the foregoing, either party may:

  • Bring an individual action in small claims court for disputes within the court's jurisdictional limits, provided that such court does not have authority to entertain any claims on a class or representative basis;

  • Bring any dispute, cause of action, claim, or controversy relating to either party's intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents) in any court of competent jurisdiction;

  • Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent imminent, irreparable harm pending arbitration.

11.9 Interpretation and Enforcement

With the exception of Section 11.6 (Class Action Waiver), if any part of this arbitration provision is deemed invalid, unenforceable, or illegal, or otherwise conflicts with the Applicable Rules, the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal, or conflicting provision were not contained herein. If, however, Section 11.6 is found to be invalid, unenforceable, or illegal, then the entirety of this arbitration provision shall be null and void, and neither you nor Solid Credit shall be entitled to arbitrate their dispute, and must instead bring any claims in a court of competent jurisdiction.

11.10 Survival

This arbitration agreement and class action waiver shall survive termination of these Terms and any other agreement between you and Solid Credit, and your use of our Site or App.
