3. DESCRIPTION OF SERVICES

3.1 Overview

Solid Credit provides technology-enabled and AI tools, resources, and educational services designed to help you understand, monitor, and manage your credit health (collectively, the "Services"). Solid Credit does not provide credit repair services. The Services are organized into tiers as described in Sections 3.2 through 3.4. All Services are subject to the disclaimers in Section 14 and the limitations described in Section 3.6. The tier-specific service description, price, billing frequency, automatic-renewal terms, and other material terms displayed and affirmatively accepted when you enroll or change tiers are incorporated into this Agreement and define the terms applicable to your selected tier. Later feature changes are governed by Section 3.5.

3.2 Free Tier Services

The free tier (“Free Tier”) is available at no charge and does not require a paid subscription. Services available with the Free Tier are described on our website at www.solidcredit.com/pricing.

3.3 Paid Subscription Services

Solid Credit may offer paid subscription tiers, bundles, or other paid subscription options (collectively, “Paid Subscriptions”). Paid Subscriptions require enrollment as described in Sections 4 and 5.

3.4 Current Paid Subscription Offerings

The Paid Subscriptions currently offered, including their names, Services, prices, billing frequencies, and free-trial availability and terms, are described on our Pricing Page at www.solidcredit.com/pricing and at subscription checkout.

3.5 Service Modifications

We reserve the right to modify, add, or remove features from any service tier at any time. If we make material changes that reduce the features or scope of features available with your selected tier, we will provide you with at least thirty (30) days' advance notice. If you have a paid subscription, you may cancel it without penalty before the changes take effect.

3.6 No Guarantee of Results; Important Limitations

YOU UNDERSTAND AND AGREE THAT:

  • Solid Credit is not a credit repair organization, credit repair company, debt adjustment company, credit counseling agency, or financial advisor. We provide educational tools and technology to assist you in understanding your own credit health.

  • Solid Credit does not advise you to dispute any specific item, how to dispute such an item, and does not determine whether any item should be disputed. Any decision to dispute information is made solely by you based on your own judgment.

  • Solid Credit does not guarantee any specific result, including any improvement to your credit score, removal of any item from your credit report, or any particular outcome from any action you take using the Services. This applies to all Services.

  • Credit scores and reports are maintained by third-party credit bureaus. We are not a credit reporting agency. We do not control the content of your credit reports or the calculation of your credit scores.

  • The accuracy and timeliness of credit information displayed through our Services depends on data provided by third-party credit bureaus, other data sources, or information you provide. Credit bureau data may contain errors or delays and such errors and delays are outside our control.

  • Any educational guidance, analysis, or recommendations provided by our Services are generated by automated technology for educational and informational purposes only. They do not constitute professional legal, financial, or credit counseling advice. You should independently verify any such information with qualified legal, financial, or credit counseling professionals before relying on it.

  • Solid Credit does not provide legal advice and does not act as a law firm. Nothing in the Services should be interpreted as legal advice.

  • Past results achieved by you or other users are not a guarantee of your results.

4. Fees and Pricing

4.1 Current Pricing

Current pricing is available on our Pricing Page at www.solidcredit.com/pricing and at subscription checkout. If the subscription fee for your selected Paid Subscription is set to increase, we will provide you with at least thirty (30) days' advance notice, and you may cancel your subscription without penalty before the changes take effect. The increased fee will apply no earlier than the first renewal occurring at least thirty (30) days after we provide notice.

4.2 Paid Subscription Enrollment

You may use the Free Tier without purchasing a Paid Subscription. To access a Paid Subscription, you must complete subscription checkout. Our Pricing Page and subscription checkout will display the selected Paid Subscription, subscription price, billing frequency, automatic-renewal terms, whether a free trial is offered and, if so, its material terms, whether and when a payment method is required, and any applicable taxes before you complete checkout.

If you provide a payment method in connection with a Paid Subscription, you authorize us to charge that payment method according to the timing and other terms displayed and affirmatively accepted at subscription checkout. Those terms may provide for an immediate first charge or a first charge after a free trial. Current free-trial availability is described on our Pricing Page. Any free trial, including its duration, conversion to a paid subscription, cancellation deadline, and first charge date, is governed by the terms displayed and affirmatively accepted at subscription checkout.

4.3 Subscription Term

Paid Subscriptions are offered on a monthly basis. Your Paid Subscription begins on the date stated at subscription checkout and continues for successive monthly renewal periods until you or we cancel it. If you cancel during a paid billing period, your Paid Subscription will remain active through the end of that billing period and will not renew. We provide no refunds for cancellations in the middle of a paid billing period, except as described in Sections 5.5 and 10.5.

4.4 Promotional Pricing

We may offer promotional pricing from time to time. Promotional pricing is temporary and will revert to standard pricing at the end of the promotional period, as disclosed at the time of the offer. Promotional pricing may be subject to additional terms and limitations stated on our website at the time you enroll in the promotion. Review the terms of the promotion for more information.

5. BILLING AND PAYMENT

5.1 Payment Authorization

The Free Tier does not carry a subscription fee. When you provide a payment method for a Paid Subscription, you authorize Solid Credit to charge that payment method for: (a) the subscription fee for your selected Paid Subscription and billing period; and (b) any applicable taxes.

5.2 Automatic Renewal

If you enroll in a subscription to access or use the Services, you are subscribing to an automatically renewing subscription requiring recurring payments at the stated frequency until you cancel. You can cancel using any method described in Section 10.2. If you provide a payment method, you authorize us to charge it for your first subscription fee and any applicable taxes on the date displayed and affirmatively accepted at subscription checkout, which may be immediately or after a free trial, and to charge subsequent subscription fees and applicable taxes when your subscription renews. Your subscription will automatically renew until you cancel your subscription or we terminate it. You can review your current subscription by visiting app.solidcredit.com/settings/subscription. We may change subscription terms or subscription fees at any time on a go forward basis at our sole discretion. In the event of an error, we reserve the right to correct the error and revise your purchase accordingly (which includes charging the correct price) or to cancel the purchase and refund any amount charged. Except as provided in Sections 5.5 and 10.5, to the extent required by law, or in our sole discretion, payments are nonrefundable.

5.3 Payment Methods

We accept major credit cards, debit cards, and other payment methods as displayed during checkout. You are responsible for keeping your payment information current.

5.4 Failed Payments

If a payment fails, we may:

  • Attempt to charge your payment method again

  • Notify you and request updated payment information

  • Suspend or downgrade your account to the Free Tier

  • Charge any past-due amounts when a valid payment method is provided

If you are enrolled in a Paid Subscription and you would like to switch to the Free Tier, your enrollment will update at the end of the current paid billing period. If you cancel during a free trial, the timing of your switch to the Free Tier is governed by the trial terms displayed and affirmatively accepted at subscription checkout.

5.5 No Refunds (With Limited Exceptions)

The cost of your subscription is generally non-refundable. However:

  • If we materially breach this Agreement or if the Services under your Paid Subscription are unavailable for an extended period, you may be entitled to a prorated refund for the unused portion of your current billing period

  • We may, in our sole discretion, offer refunds or credits on a case-by-case basis. Our provision of a refund in one case does not require us to do so in a subsequent case.

6. ADDITIONAL AUTHORIZATION AND CONSENT

6.1 Social Security Number / ITIN

You authorize us to collect and use your Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN) solely for the purposes of verifying your identity and providing the Services. Your SSN or ITIN is encrypted and stored in accordance with industry security standards as described in our Privacy Policy.

6.2 Bank Account Access

Certain features may require you to link your bank account(s) through a third-party service provider (e.g., Plaid). By linking your bank account, you authorize the applicable third-party provider to access your bank account information in accordance with its terms and privacy policy. Solid Credit does not store your bank account login credentials. Details on the services that require access to your bank account are available in our app, on our website, and in our Account Data Usage Authorization and our Privacy Policy.

6.3 Consent to Electronic Communications

By creating an account, you consent to receive electronic communications from Solid Credit, including:

  • Account notifications and alerts

  • Credit monitoring alerts

  • Updates and announcements regarding the Services

  • Marketing and promotional communications (from which you may opt-out)

  • Legal notices and disclosures

You agree that electronic communications satisfy any legal requirement for written communications.

6.4 SMS/Text Message Consent

If you gave us your mobile phone number, you expressly:

  • Verify that the mobile phone number you provided is true and accurate, and that you are the current subscriber or owner of the mobile phone number

  • Agree to receive from or on behalf of Solid Credit at the provided mobile phone number recurring autodialed SMS (text) messages concerning your relationship with Solid Credit, including, but not limited to, Service notifications and an SMS message to verify your identity before registering your mobile phone number.

Your consent is not required to use the Services or to interact with Solid Credit. While you consent to receive messages sent using an autodialer, the foregoing shall not be interpreted to suggest or imply that any or all of Solid Credit’s SMS messages are sent using an autodialer. Data or messaging rates may apply. If you have any questions about your SMS messaging or data plan, it is best to contact your mobile phone carrier. Not all mobile devices, handsets, or carriers may be supported and our SMS messages may not be deliverable in all areas. Solid Credit and the mobile phone carriers are not liable for delayed or undelivered SMS messages.

If you do not wish to continue receiving SMS messages or no longer agree to the terms of this Section, you agree to reply “STOP”, “QUIT”, “END”, “REVOKE”, “OPT-OUT”, “CANCEL”, or “UNSUBSCRIBE” to any SMS message from Solid Credit to opt out of receiving SMS messages. You may receive an additional mobile message confirming your decision to opt out, as well as instructions on how to reactivate receiving SMS messages.

For support or to request additional information regarding SMS messages, text “HELP” to (815) 765-4327 or email support@solidcredit.com.

By receiving SMS messages, you acknowledge and agree that you are not under the age of 18. Any mobile phone number that you provide us and/or consent you provide to receive recurring autodialed SMS messages related to the SMS messages will not be shared with or transferred to any third parties for marketing or promotional purposes. If you have any questions regarding how Solid Credit collects, uses, shares, and protects your mobile phone number and other information, please refer to our Privacy Policy.

We will attempt to notify you at the email address associated with your account before taking action under this Section, but failure to provide notice shall not affect our right to do so. You may reactivate a suspended account by logging in and, if applicable, re-verifying your identity. Reactivation of a closed account is not guaranteed and may require you to create a new account subject to the then-current version of this Agreement.

10.5 Termination by Solid Credit

We may suspend or terminate your account and access to the Services at any time with cause, including if:

  • You violate this Agreement

  • You provide inaccurate, fraudulent, or misleading information

  • You engage in an action that we find to be illegal or otherwise unacceptable per Section 2.2

  • We are required to do so by law

  • We discontinue the Services or any feature thereof

We may also suspend or terminate access to specific features while investigating potential violations.

Additionally, we reserve the right to suspend, withdraw, amend or terminate your account and access to the Services in our sole discretion and at any time without cause. We will not be liable if for any reason all or any part of your account or the Services is terminated or unavailable at any time or for any period.

Solid Credit will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

16. DISPUTE RESOLUTION BY BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND HOW CLAIMS THAT YOU AND SOLID CREDIT HAVE AGAINST EACH OTHER ARE RESOLVED. THIS SECTION IS DEEMED TO BE A "WRITTEN AGREEMENT TO ARBITRATE" PURSUANT TO THE FEDERAL ARBITRATION ACT. YOU AND SOLID CREDIT AGREE THAT THIS SECTION SATISFIES THE "WRITING" REQUIREMENT OF THE FEDERAL ARBITRATION ACT.

YOU ACKNOWLEDGE YOU HAVE READ THIS PROVISION CAREFULLY AND UNDERSTAND THAT IT LIMITS YOUR RIGHTS IN THE EVENT OF A DISPUTE BETWEEN YOU AND US. YOU UNDERSTAND THAT YOU HAVE THE RIGHT TO REJECT THIS PROVISION AS PROVIDED BELOW.

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

16.2 Informal Resolution

If a claim arises, our goal is to learn about and address your concerns and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost effective means of resolving the dispute quickly. Before initiating any legal or arbitral proceeding, you agree to contact us at legal@solidcredit.com to attempt an informal resolution. You must describe your concern and the specific relief you seek. We will endeavor to resolve the matter within sixty (60) days. Neither party may initiate a proceeding until the informal resolution process is complete.

16.3 Binding Arbitration

IF INFORMAL RESOLUTION FAILS, YOU AND SOLID CREDIT AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING FROM OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE RELATIONSHIP BETWEEN YOU AND SOLID CREDIT AND THE REMEDY FOR RESOLUTION OF SUCH DISPUTES, CLAIMS, OR CONTROVERSIES SHALL BE RESOLVED SOLELY AND EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, PURSUANT TO THIS SECTION (the “ARBITRATION PROVISION”).

As used in this Arbitration Provision, “Claim” shall include any past, present, or future claim, dispute, or controversy involving you (or persons claiming through or connected with you), on the one hand, and us on the other hand, relating to or arising out of this Agreement, and/or the activities or relationships that involve, lead to, or result from this Agreement, including (except to the extent provided otherwise in Section 16.6 below) the validity or enforceability of this Arbitration Provision, any part thereof, or the entire Agreement. Claims are subject to arbitration regardless of whether they arise from contract, tort (intentional or otherwise); a constitution, statute, common law, or principles of equity, or otherwise. Claims include matters arising as initial claims, counter-claims, cross-claims, third-party claims, or otherwise. Please note that you may continue to assert Claims in small claims court if your Claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The scope of this Arbitration Provision is to be given the broadest possible interpretation that is enforceable.

16.4 Applicability of the Federal Arbitration Act; Arbitrator’s Powers

This Arbitration Provision is made pursuant to a transaction involving interstate commerce and shall be governed by and enforceable under the Federal Arbitration Act (the “FAA”). The arbitrator will apply substantive law consistent with the FAA and applicable statutes of limitations. The arbitrator may award damages or other types of relief permitted by applicable substantive law, subject to the limitations set forth in this Arbitration Provision. The arbitrator will not be bound by judicial rules of procedure and evidence that would apply in a court. The arbitrator shall take steps to reasonably protect confidential information.

16.5 Arbitration Procedures

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Agreement.

BY AGREEING TO ARBITRATION, YOU AND SOLID CREDIT EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

Arbitration will be conducted by a single neutral arbitrator selected in accordance with AAA Consumer Arbitration Rules, except to the extent the rules conflict with this Arbitration Provision or any countervailing law;

  • The arbitrator shall have the exclusive authority to resolve all disputes;

  • The arbitrator, and not any court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable;

  • The arbitrator shall apply New York substantive law consistent with the Federal Arbitration Act (9 U.S.C. §§ 1-16);

  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction;

  • Payment of arbitration fees will be governed by the AAA Consumer Arbitration Rules; Solid Credit will pay all arbitration administration fees and arbitrator fees in excess of the amount you would pay to file in court if we elect arbitration. If you elect arbitration, filing costs and administrative fees (other than hearing fees) shall be paid in accordance with the AAA Consumer Arbitration Rules, or in accordance with countervailing law if contrary. We shall pay the administrator’s hearing fees for one full day of arbitration hearings. Fees for hearings that exceed one (1) day will be paid by the party requesting the hearing, unless the AAA Consumer Arbitration Rules or applicable law require otherwise, or you request that we pay them and we agree to do so. Each party shall bear the expense of its own attorneys’ fees, except as otherwise provided by law. If a statute gives you the right to recover any of these fees, these statutory rights shall apply in the arbitration notwithstanding anything to the contrary herein;

  • Arbitration may be conducted in person in New York County, New York (or in the county of your primary residence if you prefer), by telephone, by video conference, or based on written submissions;

  • If you have any questions concerning the AAA or would like to obtain a copy of the AAA Consumer Arbitration Rules, you may call 1(800) 352-5267 or visit the AAA’s website at www.adr.org;

  • In the case of a conflict between the AAA Consumer Arbitration Rules and this Arbitration Provision, this Arbitration Provision shall control, subject to countervailing law, unless all parties to the arbitration consent to have the AAA Consumer Arbitration Rules apply.

16.6 Class Action Waiver

YOU AND SOLID CREDIT AGREE THAT NO ARBITRATION SHALL PROCEED ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS (INCLUDING AS PRIVATE ATTORNEY GENERAL ON BEHALF OF OTHERS), EVEN IF THE CLAIM OR CLAIMS THAT ARE THE SUBJECT OF THE ARBITRATION HAD PREVIOUSLY BEEN ASSERTED (OR COULD HAVE BEEN ASSERTED) IN A COURT AS CLASS REPRESENTATIVE, OR COLLECTIVE ACTIONS IN A COURT.

Unless consented to in writing by all parties to the arbitration, no party to the arbitration may join, consolidate, or otherwise bring Claims for or on behalf of more than one person or unrelated corporate entities in the same arbitration unless those persons are parties to a single transaction. Unless consented to in writing by all parties to the arbitration, an award in arbitration shall determine the rights and obligations of the named parties only, and only with respect to the Claims in arbitration and shall not (a) determine the rights, obligations, or interest of anyone other than a named party, or resolve any Claim of anyone other than a named party; nor (b) make an award for the benefit of, or against, anyone other than a named party. No administrator or arbitrator shall have the power or authority to waive, modify, or fail to enforce this Section, and any attempt to do so, whether by rule, policy, arbitration decision or otherwise, shall be invalid and unenforceable. ANY CHALLENGE TO THE VALIDITY OF THIS CLASS ACTION WAIVER SHALL BE DETERMINED EXCLUSIVELY BY A COURT AND NOT BY THE ADMINISTRATOR OR ANY ARBITRATOR. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, AND ALL DISPUTES SHALL PROCEED IN COURT.

16.7 Batch Arbitration

If twenty-five (25) or more similar arbitration demands are filed against Solid Credit by the same law firm or coordinated group of law firms, the parties agree that the AAA Consumer Mass Arbitration Supplementary Rules shall apply, or if those rules do not apply, the arbitrator shall implement procedures to ensure the efficient resolution of claims, including the use of staged proceedings or bellwether cases.

16.8 Exceptions

Notwithstanding the foregoing, either party may:

  • Bring an individual action in small claims court for disputes within the court's jurisdictional limits, provided that such court does not have authority to entertain any claims on a class or representative basis;

  • Bring any dispute, cause of action, claim, or controversy relating to either party's intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents) in any court of competent jurisdiction;

  • Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent imminent, irreparable harm pending arbitration.

16.9 Interpretation and Enforcement

With the exception of Section 16.6 (Class Action Waiver), if any part of this arbitration provision is deemed invalid, unenforceable, or illegal, or otherwise conflicts with the Applicable Rules, the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal, or conflicting provision were not contained herein. If, however, Section 16.6 is found to be invalid, unenforceable, or illegal, then the entirety of this arbitration provision shall be null and void, and neither you nor Solid Credit shall be entitled to arbitrate their dispute, and must instead bring any claims in a court of competent jurisdiction.

16.10 Survival

This arbitration agreement and class action waiver shall survive termination of these Terms and any other agreement between you and Solid Credit, and your use of our Site or App.
